| Talent Agreement and Release |
In consideration of the participation by the undersigned (the "Participant") in the Talent Rock Event hosted by Talent Rock, its agents, assigns, partners and affiliates (the "Event"), the Participant acknowledges and agrees as follows:
Participant acknowledges that the Event and the activities of Participant in connection with the Event will be recorded, photographed, videotaped and filmed by Talent Rock and its agents and employees. Participation in the Event constitutes Participant's express consent thereto. In consideration for participation, Participant further acknowledges and agrees that Talent Rock may use Participant's name, portraits, photographs, statements and any and all other likeness obtained in connection with the Event, in any form, format and media, for any purpose in the promotion of Talent Rock or its assigns and its products and services. Talent Rock will have exclusive ownership and right to assign all copyrights and other intellectual property rights associated with all portraits, photographs, all video and audio recordings, and all statements that are transcribed by Talent Rock, containing the voice, statements and/or likeness of Participant. Participant shall have no claim or action against Talent Rock, its agents or representatives in connection with such use.
Participant understands and agrees that all representatives of the modeling and talent agencies and other modeling and entertainment professionals attending the Event are attending to look for talent in which they may have an interest, but that offers of employment are to occur without the involvement of Talent Rock. In fact, all such professionals have agreed to not make any employment or other offers to participants during the Event. Participant further understands that Talent Rock strongly recommends that no Participant deal directly with any employer without utilizing the services of a qualified agent to represent their interests. Talent Rock does not provide any advice to participants in regard to matters of employment or the selection of agents to represent them. Participant understands that no providers of transportation, accommodations and other services to, from and during the Event are acting as agents of Talent Rock, and that Talent Rock shall have no liability or responsibility for their acts or omissions, including, but not limited to, transportation delays, damage to or loss of baggage, conditions of accommodations, and so forth. It is Participant's responsibility to read and abide by all terms governing baggage, and to pay the cost of any excess baggage or baggage insurance. It is Participant's sole responsibility to abide by all rules and regulations governing air and sea travel, customs, and immigration. Participant acknowledges that failure to abide by such regulations may result in a travel provider's refusal of service to Participant, and further agrees to hold harmless and indemnify Talent Rock for any such refusal of service.
Participant expressly agrees and represents that Participant is not acting in concert with, in agreement with or in connection with any member of the outside media. In consideration of the intellectual property rights of Talent Rock, as well as the privacy of others, Talent Rock retains the right to confiscate any unauthorized videotape or audiotape of any of the events or workshops. Participant agrees that Participant shall not make any derogatory, disparaging or negative comments or statements about Talent Rock. In the event Participant violates this provision and makes such statements, Talent Rock shall have the right to obtain injunctive relief prohibiting Participant from making any further such statements.
This Agreement shall be construed under the laws of the State of Florida. Any suit or action brought to enforce any of the terms and conditions of this Agreement shall be brought solely in Orange County, Florida.
Participant acknowledges that there are inherent risks associated with travel and participation in the Event. Therefore, Talent Rock does not accept responsibility for, and shall not be liable for, any loss, injury or damage to Participant or Participant's personal belongings. Participant expressly assumes all risks associated with the Event, and any activities undertaken by Participant, including, without limitation, injury or illness and damage to or loss of personal property. Participant expressly waives, releases and shall forever hold harmless Talent Rock, its licensees and agents, and their personnel from and against any and all claims, suits, demands, losses, damages, and all other expenses or liabilities attributable to or arising out of the Event. Participant expressly agrees to indemnify Talent Rock for any and against all claims, suits, demands, losses, damages, and all other expenses or liabilities attributed to or arising out the Event.
In the event that any term or provision of this Agreement is held by a court or tribunal of competent jurisdiction to be unenforceable, then the remaining provisions of this Agreement shall remain in full force and effect.
If Participant is a minor or is married, the legal guardian or spouse also agrees to all terms of the foregoing Agreement and Release. If the Spouse of a married Participant is not present to sign this Agreement, then the Participant -spouse agrees to indemnify and hold harmless Talent Rock for any and all causes of action, which may arise or accrue to said spouse.
Participant understands that if Participant is not in attendance during the final award ceremony and is chosen as a semi-finalist, their spot may be given to another contestant. YOU MUST BE ON TIME FOR THE FINALS OR YOUR SPOT WILL BE GIVEN AWAY!!
THE USE OF ILLEGAL DRUGS AT ANY TIME DURING THIS EVENT WILL RESULT IN IMMEDIATE DISQUALIFICATION OF PARTICIPANT FROM ANY COMPETITIONS OR PARTICIPATION IN THE EVENT. PARTICIPANT AGREES THAT IN SUCH EVENT, THEY WILL FORFEIT ALL MONIES PAID. THIS ALSO APPLIES TO ALCOHOL AND TOBACCO PRODUCTS IN THE POSSESSSION OF OR USE OF BY MINORS. THE LEGAL AGE FOR ALCOHOL CONSUMPTION IN FLORIDA IS 21 YEARS OF AGE AND 18 YEARS OF AGE FOR TOBACCO.
